01Scope of these Terms
These Terms apply to the public website operated under the Hub Design brand, including its public pages, articles, resources, project brief forms, enquiry forms and other publicly accessible content.
These Terms do not govern:
- paid client projects or deliverables;
- private client portals;
- private communities or membership areas;
- standalone software, templates or digital products that may be introduced in the future; or
- third-party websites, platforms or services.
Paid client engagements are governed separately by the applicable proposal, Client Agreement, Statement of Work (“SOW”), NDA or other written agreement.
Future private services may also be subject to separate or supplemental terms.
02Acceptance of these Terms
By accessing or using the Website, you agree to these Terms.
If you do not agree with these Terms, you should not use the Website.
Where applicable law requires affirmative acceptance of particular terms, those terms will apply in accordance with the acceptance mechanism required by law.
03Eligibility
The public Website may generally be viewed by anyone.
However, if you submit a project brief or enquiry, accept a proposal, enter into an agreement, or otherwise seek to establish a commercial relationship with Hub Design, you represent that you:
- are at least 18 years old; and
- have the legal capacity to take that action.
If you act on behalf of a company, organisation or other entity, you also represent that you have authority to act for that entity where your actions are intended to bind it.
Hub Design’s paid engagements are primarily intended for founders, businesses, professionals and organisations seeking services for business or commercial purposes.
04Permitted Use of the Website
You may access and use the public Website for lawful informational and business-evaluation purposes.
Subject to these Terms and applicable law, you may view, read and reference public content for ordinary personal or internal business purposes.
Your access to the Website does not transfer ownership of, or grant any broader licence in, Hub Design’s intellectual property.
05Prohibited Conduct
You must not use the Website in a way that is unlawful, fraudulent, abusive or harmful.
Without limiting that principle, you must not:
- attempt to gain unauthorised access to the Website, its systems or infrastructure;
- interfere with the security, integrity, operation or availability of the Website;
- introduce viruses, malware, malicious code or other harmful technology;
- impersonate another person or entity or misrepresent your identity or authority;
- misuse forms, communications or submission mechanisms;
- harvest personal information or other data unlawfully;
- use the Website to violate another person’s intellectual-property, privacy or other legal rights;
- use the Website to facilitate fraud or other unlawful activity; or
- attempt to circumvent technical measures intended to protect the Website or its content.
06Automated Access, Scraping and AI Training
Except where permitted by applicable law or expressly authorised by Hub Design, you may not use automated means to scrape, systematically extract, copy, reproduce or collect substantial portions of the Website or its protected content.
You may not use Hub Design’s protected content to create or enrich commercial datasets, train or fine-tune artificial-intelligence or machine-learning models, or develop competing content repositories without prior permission, except to the extent applicable law permits the activity without such permission.
Nothing in this section is intended to prevent ordinary indexing by bona fide public search engines for search and discovery purposes where such indexing is consistent with applicable technical directives.
Ordinary search indexing does not itself grant permission to use Hub Design content for unrelated dataset extraction or model training.
07Hub Design Intellectual Property
Unless otherwise stated, the Website and its original content—including its written material, branding, visual identity, graphics, diagrams, layouts, videos, design elements, concepts and other original materials—are owned by or lawfully used by Hub Design and are protected by applicable intellectual-property laws.
You may not copy, reproduce, republish, distribute, sell, commercially exploit, adapt or create derivative uses of protected Hub Design material without prior permission, except where applicable law permits the use without permission.
Nothing in these Terms limits lawful exceptions or limitations to intellectual-property rights that cannot be excluded by contract.
08Third-Party Marks and Materials
Names, logos, trademarks, product names, service names and other materials belonging to third parties remain the property of their respective owners.
Their appearance on the Website does not by itself imply sponsorship, endorsement, partnership or affiliation with Hub Design.
Where third-party software components, fonts, media or other licensed materials are used on the Website, those materials remain subject to the applicable rights and licence terms of their owners or licensors. Your access to the Website does not give you an independent licence to extract or reuse those third-party materials.
09Linking to Hub Design
You may link to publicly accessible Hub Design pages provided the link is lawful and fair and does not:
- misrepresent your relationship with Hub Design;
- imply endorsement, sponsorship, partnership or affiliation where none exists;
- present Hub Design content in a misleading context; or
- otherwise infringe Hub Design’s rights.
Hub Design may request removal of a link where its use is unlawful, misleading or materially harmful to our rights or reputation.
10Project Briefs and Enquiries
The Website may allow you to submit a project brief, enquiry or other communication.
Submitting a brief or enquiry does not by itself:
- create a client relationship;
- create a contract;
- require Hub Design to accept or undertake a project;
- reserve capacity or availability;
- establish final project scope;
- guarantee any particular price or timeline; or
- create an obligation for either party to proceed with an engagement.
Hub Design may review an enquiry and decide whether further discussion is appropriate.
A paid engagement begins only through the applicable proposal, Client Agreement, SOW or other written commercial arrangement accepted by the relevant parties.
11Preliminary Discussions
Ideas, recommendations, preliminary scope discussions, indicative timelines, estimates, pricing discussions and other communications made before a formal commercial agreement is accepted are generally preliminary and non-binding unless Hub Design expressly states otherwise in writing.
They may change as requirements, technical considerations, project scope and commercial terms are clarified.
12Materials You Submit
You retain ownership of material that you provide through the Website, including your copy, logos, images, documents, links, concepts and other materials.
By submitting material to Hub Design, you grant us a limited, non-exclusive right to access, review, store, reproduce internally and otherwise use that material only as reasonably necessary to:
- receive and evaluate your enquiry;
- respond to you;
- assess potential project requirements;
- communicate with you about a possible engagement; and
- comply with applicable legal or operational requirements.
Any broader rights required for an actual client engagement should be addressed in the applicable Client Agreement, proposal or SOW.
13Your Responsibility for Submitted Materials
You are responsible for the materials you submit to Hub Design.
You represent that, to the extent necessary for the purpose for which you provide them:
- the materials are lawful;
- you have the necessary ownership, licence, authority or permission to provide them; and
- their submission and intended use by Hub Design will not knowingly violate another person’s rights.
This includes intellectual-property, confidentiality, privacy and other applicable rights.
14Confidential Information
Submitting information through a public Website form does not by itself create a confidentiality, fiduciary or NDA obligation for Hub Design.
You should not submit trade secrets, passwords, highly sensitive credentials or other information requiring special confidentiality protection through a public Website form unless Hub Design has specifically agreed to receive that information under appropriate confidentiality arrangements.
Personal information submitted through the Website is handled in accordance with the Hub Design Privacy Policy.
Where an NDA, Client Agreement or other written confidentiality obligation exists, that agreement governs the information covered by it.
15Paid Client Engagements
These public Terms do not govern the substantive commercial terms of paid Hub Design projects.
Matters such as project scope, fees, taxes, payment schedules, timelines, milestones, revisions, responsibilities, deliverables, intellectual-property ownership or licensing, third-party costs, cancellation, refunds, ongoing support and managed services should be governed by the applicable Client Agreement, proposal, SOW or other written commercial agreement.
If a signed or otherwise validly accepted Client Agreement, proposal, SOW, NDA or other commercial agreement conflicts with these public Terms in relation to a client engagement, the applicable commercial agreement controls for that engagement.
16No Guaranteed Business Results
Hub Design may publish information about digital strategy, websites, funnels, content, community, memberships, tools and connected digital-hub architecture.
Business outcomes depend on many factors outside Hub Design’s control.
Unless expressly agreed in a separate written client agreement, Hub Design does not guarantee any specific level of:
- revenue;
- profitability;
- traffic;
- leads;
- sales;
- conversions;
- audience growth;
- business growth; or
- other commercial performance.
Nothing in this section permits Hub Design to make false, deceptive or misleading claims or removes rights that cannot lawfully be excluded.
17General Information, Not Regulated Professional Advice
Public content on the Website—including articles, commentary, frameworks, examples and strategic material—is provided for general informational purposes.
Unless expressly stated otherwise in a properly authorised professional engagement, such content is not legal, financial, tax, accounting, investment or other regulated professional advice. You should obtain appropriate professional advice where your circumstances require it.
18Third-Party Websites and Services
The Website may contain links to, integrations with or embedded functionality provided by third parties.
Hub Design does not control those third-party websites or services and is not responsible for their independent content, availability, security, terms, policies or practices.
Your use of a third-party service may be governed by that provider’s own terms, privacy policy and other rules. A link or integration does not by itself constitute an endorsement.
19Website Availability and Changes
Hub Design may update, modify, suspend, replace, remove or discontinue any part of the public Website or its content from time to time.
We do not guarantee that every page, feature or resource will remain permanently available.
We may also carry out maintenance, security work, technical changes or other improvements that temporarily affect access.
20Disclaimer of Warranties
The public Website and its content are provided on an “as available” basis.
While Hub Design aims to maintain useful, accurate and current information, we do not warrant that the Website will always be uninterrupted, completely error-free, complete, current or suitable for every visitor’s particular purpose.
You are responsible for evaluating information before relying on it for material business decisions.
Nothing in these Terms excludes any warranty, representation, right or remedy that cannot lawfully be excluded.
21Limitation of Liability
To the fullest extent permitted by applicable law, Hub Design will not be liable for indirect, incidental, special, consequential or similar losses arising solely from use of, inability to use, or reliance on the public Website, including losses arising from:
- temporary Website unavailability;
- reliance on general public content;
- third-party websites or services;
- unauthorised or unlawful use of the Website by another person; or
- events outside Hub Design’s reasonable control.
This limitation applies only to the public Website and these Terms.
Liability relating to paid client engagements is governed by the applicable Client Agreement, proposal, SOW or other commercial agreement.
Nothing in these Terms excludes or limits liability, rights or remedies where doing so would be unlawful.
22Indemnity for Misuse
To the extent permitted by applicable law, you agree to indemnify and hold Hub Design harmless from third-party claims, losses, liabilities and reasonable costs arising directly from:
- your unlawful or fraudulent use of the Website;
- material you submit without the rights or authority required to submit it;
- your infringement of another person’s intellectual-property or other legal rights through your use of the Website; or
- your material breach of these Terms.
This provision does not require you to indemnify Hub Design for claims arising from Hub Design’s own unlawful conduct to the extent such responsibility cannot lawfully be shifted to you.
23Intellectual-Property Complaints
If you reasonably believe that material appearing on the Website infringes your copyright, trademark or other intellectual-property rights, you may contact Hub Design at support@hubdesign.in.
Please provide enough information for us to understand and assess the concern, including identification of the protected material, the Website material in question, the basis of your claim and a means of contacting you.
Hub Design may investigate the matter and take action it considers appropriate in accordance with applicable law.
24Privacy, Cookies and Communications
Hub Design’s collection and use of personal information is governed by the Privacy Policy.
Use of cookies and similar technologies is governed by the Cookie Policy where applicable.
If you voluntarily submit a project brief, enquiry or other request, Hub Design may contact you as reasonably necessary to respond to that request or discuss the potential engagement.
Submitting an enquiry does not automatically enrol you in a marketing mailing list.
Where legally permitted, communications and notices relating to your use of the Website may be provided electronically, including by email to an address you have supplied.
25Restriction of Access
Hub Design may restrict, suspend or block access to the Website where reasonably necessary to protect the Website, its users, Hub Design or third parties.
This may include circumstances involving:
- unlawful or fraudulent activity;
- cybersecurity threats;
- malicious automated activity;
- abuse of Website forms;
- attempted interference with Website operation; or
- material violation of these Terms.
26Events Beyond Our Reasonable Control
Hub Design will not be responsible for delays, interruptions or failures affecting the public Website that result from circumstances outside our reasonable control.
These may include significant internet or network disruption, hosting or infrastructure failure, cyber incidents, natural disasters, governmental action, widespread service outages or similar events.
This section concerns the public Website only. Force-majeure provisions applicable to paid client work should be addressed separately in the relevant commercial agreement.
27International Access
Hub Design is operated from India, although the Website may be accessed from other countries.
We do not represent that every part of the Website or its content is appropriate, lawful or available for use in every jurisdiction.
Visitors accessing the Website from outside India are responsible for complying with laws applicable to them.
Nothing in these Terms removes any mandatory rights or remedies that applicable law does not permit the parties to exclude or restrict, including mandatory protections that may apply to users in the United States or other jurisdictions.
28Governing Law and Jurisdiction
These Terms are governed by the laws of India, without prejudice to mandatory legal protections that cannot lawfully be excluded.
Subject to those mandatory rights and applicable jurisdictional rules, disputes arising from these Terms or use of the public Website will be subject to the courts of competent jurisdiction in Karnataka, India.
These public Website Terms do not require mandatory arbitration.
Any arbitration, mediation or other dispute-resolution process applicable to a paid client engagement must arise from the relevant Client Agreement, proposal, SOW or other commercial agreement.
29Changes to these Terms
Hub Design may update these Terms from time to time to reflect changes to the Website, our operations, legal requirements or business practices.
When we make changes, we will update the “Last updated” date.
Revised Terms apply prospectively from their publication or from such later date as may be stated.
Updating these public Terms does not by itself amend an existing Client Agreement, proposal, SOW, NDA or other separate commercial agreement.
30Assignment
Subject to applicable law, Hegde Ventures may assign or transfer its rights and obligations relating to these public Terms to a successor or related business in connection with an incorporation, restructuring, reorganisation, sale, transfer or similar business event.
You may not assign or transfer rights specifically arising under these Terms to another person where doing so would materially affect Hub Design without our consent, except where applicable law provides otherwise.
31No Partnership or Agency
Use of the Website, submission of a project brief, preliminary discussions or other interactions through the public Website do not create a partnership, joint venture, agency, employment relationship, fiduciary relationship or other special legal relationship between you and Hub Design.
A client-service relationship arises only through the appropriate commercial arrangement.
32Severability, Waiver and Interpretation
If any provision of these Terms is held to be invalid or unenforceable, that provision will be interpreted or limited to the minimum extent reasonably necessary where legally permissible, and the remaining provisions will continue in effect.
If Hub Design does not immediately enforce a provision of these Terms, that does not constitute a waiver of the provision or prevent later enforcement.
Section headings are provided for convenience and do not determine the meaning of these Terms.
Words such as “including” and “includes” are illustrative and are not intended to create an exhaustive list unless the context clearly indicates otherwise.
33Entire Public Website Agreement
These Terms, together with the Privacy Policy and Cookie Policy where applicable, constitute the terms governing use of the public Hub Design Website.
They do not replace, amend or override a separate Client Agreement, proposal, SOW, NDA or other commercial agreement.
Where a separate agreement governs a particular client engagement and conflicts with these Terms on a matter relating to that engagement, the separate agreement controls.
